Introduction

This Song Usage Agreement ("Agreement") governs the submission and use of original songs ("Songs") on Mix Comp ("Platform", "we", "us", or "our"). By submitting a Song to the Platform, you ("Contributor", "you", or "your") agree to the terms outlined below.

Grant of Rights

By submitting a Song, you grant Mix Comp a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, distribute, publicly perform, publicly display, modify, and create derivative works from your Song, solely for the purposes of:

  1. Hosting Remix Competitions — making the Song available as source material for Platform-hosted remix and mixing competitions.
  2. Promotion and Marketing — promoting the competition, the Song, and the Platform through our website, social media channels, newsletters, and other marketing materials.
  3. Streaming and Playback — allowing registered users and visitors to stream and preview the Song on the Platform.
  4. Compilation and Distribution — including the Song in competition-related compilations, playlists, or releases, with attribution to you as the original creator.

You retain full ownership and copyright of your Song. Nothing in this Agreement transfers ownership of your intellectual property to Mix Comp. The license granted herein is limited to the specific uses described above.

You represent and warrant that:

  • You are the sole owner of the Song or have obtained all necessary rights, licenses, and permissions to grant the rights described in this Agreement.
  • The Song does not infringe upon the intellectual property rights, privacy rights, or any other legal rights of any third party.
  • The Song does not contain any defamatory, obscene, unlawful, or otherwise objectionable content.
  • All samples, loops, or third-party materials used in the Song are properly licensed or cleared for use.

Attribution

Mix Comp will make reasonable efforts to credit you as the original creator of the Song in all uses described above. Attribution will typically include your artist or band name and a link to your musician home page, if provided.

Duration

The license granted under this Agreement remains in effect for the duration of the Song's presence on the Platform and any related promotional materials. If you wish to withdraw your Song from the Platform, please contact us, and we will remove it from future competitions and promotional uses within a reasonable timeframe. However, we cannot recall materials that have already been distributed or published prior to your withdrawal request.

Competition-Specific Terms

When your Song is selected for a competition:

  • Remix Rights: Participants in the competition are granted a limited, non-exclusive license to create remixes and derivative works based on your Song, solely for submission to that specific competition.
  • Winning Entries: Winning remixes may be featured, streamed, or distributed by Mix Comp with attribution to both the original creator (you) and the remix artist.
  • Free Mixes as Reward: In exchange for making your Song available for competition use, you will receive free remixes/mixes of your Song created by participating artists. Once your Song is used in a competition, you will be able to listen to and download the top five ranked mixes directly on the Platform.

Platform Conduct

Mix Comp reserves the right to:

  • Reject or remove any Song that violates this Agreement, our Terms of Service, or applicable laws.
  • Modify the format, quality, or metadata of the Song for technical or operational reasons.
  • Use the Song in ways reasonably incidental to the purposes described above.

Limitation of Liability

Mix Comp is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your Song submission or use. Our total liability shall not exceed the amount of any prize or compensation explicitly awarded to you in connection with a specific competition.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Mix Comp operates, without regard to its conflict of law provisions.

Changes to This Agreement

We may update this Agreement from time to time. We will notify you of any material changes by posting the updated Agreement on this page with a revised effective date. Continued submission of Songs after such changes constitutes your acceptance of the updated terms.
